Scope

These Terms govern access to and use of the shellit.io website and of all services and products published by Shellit (the “Services”).

Use of the Services constitutes acceptance of these Terms.

Account

Access to the Services requires an account. The user is responsible for the accuracy of the information provided and for keeping their credentials confidential.

Subscriptions and payment

The Services may be offered as free or paid plans. Prices and billing frequency are shown on the subscription page of each product.

Payments are processed by Lemon Squeezy (Lemon Squeezy, Inc.) acting as Merchant of Record. As such, Lemon Squeezy issues the invoice and collects applicable taxes. Lemon Squeezy’s terms apply to the payment transaction: https://www.lemonsqueezy.com/legal.

Unless stated otherwise, paid subscriptions renew automatically at each term until cancelled by the user. Shellit may suspend the Services if a payment failure is not resolved.

Refunds are processed by Lemon Squeezy. Except where required by law, started periods are not refunded.

Acceptable use

The user must not, in particular:

• use the Services for unlawful purposes or in breach of public order;
• host content that is unlawful or infringes third-party rights;
• attempt to bypass security or quota mechanisms;
• resell the Services without prior consent.

Any breach may result in suspension or termination of the account.

Intellectual property

The Services and their content (interface, code, trademarks, logos) are the property of Shellit. A personal, non-transferable license to use them is granted to the user for the duration of the subscription.

The user retains all rights over the content they upload to the Services. They grant Shellit the license needed to store, process and serve back this content.

Availability

Shellit takes reasonable steps to keep the Services available. Interruptions may occur for maintenance or in cases of force majeure.

Liability

The Services are provided “as is”. To the extent permitted by law, Shellit’s liability is capped at the amount paid by the user during the previous twelve (12) months. Shellit is not liable for indirect damages.

Termination

The user may cancel their subscription at any time from their management area. Cancellation takes effect at the end of the current period.

Shellit may terminate access in case of serious breach of these Terms.

After termination, the user’s content is kept for thirty (30) days — during which an export may be requested — then deleted.

Personal data

Processing of personal data is described in the Privacy Policy.

Changes

Shellit may amend these Terms. Changes are notified to the user at least fifteen (15) days before they take effect.

Governing law and jurisdiction

These Terms are governed by the laws of Benin and by the OHADA Uniform Acts where applicable. Any dispute falls within the jurisdiction of the Commercial Court of Cotonou, except where otherwise required by mandatory law.
